Despite that, In 2012, the Indian\u00a0<strong>government then retrospectively amended the tax code<\/strong>, giving itself the power to go after\u00a0<strong>mergers and acquisitions(M&amp;A) deals all the way back to 1962 if the underlying asset was in India<\/strong>.<\/p>\n<p>The retroactive amendment resulted in <strong><a href=\"https:\/\/forumias.com\/blog\/retrospective-taxation-vodafone-case\/\" target=\"_blank\" rel=\"noopener\">Vodafone<\/a> and <a href=\"https:\/\/forumias.com\/blog\/india-lost-retrospective-taxation-case-to-cairn\/\" target=\"_blank\" rel=\"noopener\">Cairn Energy<\/a> suing India<\/strong> before Investor-State Dispute Settlement (ISDS) tribunals of India-Netherlands and India-U.K. bilateral investment treaties (BITs) respectively.<\/p>\n<p>Both the tribunals held that India\u2019s retroactive amendment of tax laws breached the fair and equitable treatment provision of the two BITs.<\/p>\n<p>The proposed amendment, long overdue, is a welcome development. But this amendment hasn\u2019t been proposed to comply with the two adverse ISDS decisions. Spain case, the tribunal held that the <strong>power to tax is a core sovereign power<\/strong> of the state that should not be questioned lightly. A similar opinion is held in other cases as well.<\/p>\n<table style=\"border-collapse: collapse; width: 100%;\">\n<tbody>\n<tr style=\"background-color: #f2e9f1; border-style: solid;\">\n<td style=\"width: 100%;\"><strong>Read more<\/strong>: <a href=\"https:\/\/forumias.com\/blog\/retrospective-taxation-and-the-taxation-laws-amendment-bill-explained-pointwise\/\" target=\"_blank\" rel=\"noopener\">Retrospective taxation and the Taxation Laws (Amendment) Bill \u2013 Explained, pointwise<\/a><\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<h5><strong>Then how a state&#8217;s taxation can be questioned?<\/strong><\/h5>\n<p>The two most used BIT provisions to challenge a state\u2019s taxation measures are <strong>expropriation and the fair and equitable treatment provision<\/strong>.<\/p>\n<ol>\n<li><strong>Expropriation<\/strong>: The State&#8217;s taxation measures can be questioned on the following conditions.\n<ol>\n<li>The tax should not be discriminatory<\/li>\n<li>It should not be confiscatory<\/li>\n<li>The tax law should not be extraordinary, punitive in amount, or arbitrary in incidence<\/li>\n<\/ol>\n<\/li>\n<li><strong>Fair and equitable treatment provision<\/strong>: In this type, a state&#8217;s taxation can be questioned if,\n<ol>\n<li>It breaches legal certainty<\/li>\n<li>Amending tax laws in an unreasonable and disproportionate manner.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<p>Thus, India\u2019s right to tax in the public interest should be balanced with the investor\u2019s interest of legal certainty.
