These include <span style=\"color: #ff0000;\"><span style=\"color: #333333;\">guidelines for<\/span> monetary penalty<\/span>, <span style=\"color: #ff0000;\"><span style=\"color: #333333;\">regulations for<\/span> settlements and commitments<\/span>,<span style=\"color: #ff0000;\"><span style=\"color: #333333;\"> the<\/span> <span style=\"color: #333333;\">introduction of<\/span> new thresholds <span style=\"color: #333333;\">and<\/span> <span style=\"color: #333333;\">the introduction of<\/span> &#8216;leniency plus&#8217; provisions<\/span>. These changes emanate from the Competition Law Amendment Act of 2023. This act <span style=\"color: #ff0000;\">regulates and prohibits anti-competitive practices<\/span> such as <span style=\"color: #ff0000;\">cartels<\/span>, <span style=\"color: #ff0000;\">abuse of dominant market position<\/span>, and <span style=\"color: #ff0000;\">mergers and acquisitions that may have an adverse effect on competition<\/span>.<\/p>\n<p><strong>1. New Threshold for acquisitions and mergers<\/strong><\/p>\n<p>The amendment act introduces new threshold to prohibit firms from entering into a combination which may cause an adverse effect on competition.<\/p>\n<p>a. Deals with <span style=\"color: #ff0000;\">transaction value of more than Rs 2,000 crore<\/span> will require CCI\u2019s approval.<br \/>\nb. The amended act <span style=\"color: #ff0000;\">reduces the timeline for the CCI<\/span> to pass an order on such transactions from <span style=\"color: #ff0000;\">210 days to 150 days<\/span>.<\/p>\n<p><strong>2. Penalties for Competition Law Violations<\/strong><\/p>\n<p>a. The amended act amends the <span style=\"color: #ff0000;\">definition of<\/span> &#8216;<span style=\"color: #ff0000;\">turnover<\/span>&#8216; for the imposition of penalties. The penalties will be imposed on <span style=\"color: #ff0000;\">company&#8217;s global turnover<\/span>, rather than just its turnover in India.<\/p>\n<p>b. Penalty can go up to <span style=\"color: #ff0000;\">30% of the average relevant turnover\/ income<\/span>, subject to the legal maximum of 10% of the company\u2019s global turnover.<\/p>\n<p><strong>3. Introduction of &#8216;Leniency Plus&#8217; provisions<\/strong><\/p>\n<p>This provision allows the Competition Commission of India (CCI) to give an <span style=\"color: #ff0000;\">additional waiver of penalties to an applicant<\/span> who <span style=\"color: #ff0000;\">discloses the existence of another cartel<\/span> in an unrelated market.<\/p>\n<p><strong>4. Expedition of clearances of mergers and acquisitions<\/strong><\/p>\n<p>The amended competition law in India provides for the <span style=\"color: #ff0000;\">expedition of CCI clearance of mergers and acquisitions<\/span> to <span style=\"color: #ff0000;\">within 150 days <span style=\"color: #333333;\">with an additional conservatory extension of 30 days. This is a reduction <\/span><\/span>from the time limit of maximum of 210 days now.<\/p>\n<p><strong>5. Decriminalization of certain offences<\/strong><\/p>\n<p>a. The amended competition law in India decriminalizes certain offences by <span style=\"color: #ff0000;\">changing the nature of punishment<\/span> from <span style=\"color: #ff0000;\">imposition of fine to civil penalties<\/span>.<\/p>\n<p>b. These offences include <span style=\"color: #ff0000;\">failure to comply with orders of the CCI<\/span> and<span style=\"color: #ff0000;\"> directions of the Director General<\/span> related to anti-competitive agreements and <span style=\"color: #ff0000;\">abuse of dominant position<\/span>.<\/p>\n<h2><span style=\"color: #000000;\"><strong><a id=\"toc2\"><\/a>What are the purported advantages of the changes in the Competition Law In India?<\/strong><\/span><\/h2>\n<p><strong>1. Promotion of Ease of Doing Business- <\/strong>The amendments to the Competition Act<span style=\"color: #ff0000;\"> aim to reduce regulatory hurdles<\/span> and promote ease of doing business in India. The amendments are expected to <span style=\"color: #ff0000;\">provide greater clarity to businesses operating in India<\/span> and reduce the compliance burden for companies.<\/p>\n<p><strong>2. Enhancement of Transparency-<\/strong>\u00a0 The <span style=\"color: #ff0000;\">inclusion of global turnover in the definition of &#8220;turnover<\/span>&#8221; aims to <span style=\"color: #ff0000;\">enhance transparency and accountability<\/span> in the Indian market.<\/p>\n<p><strong>3. Strong deterrence against anti-competitive practices-<\/strong> The amendment to the competition law in India ensures that companies <span style=\"color: #ff0000;\">cannot escape penalties for competition law violations by shifting their revenue to other countries<\/span>.<\/p>\n<p><strong>4. Broadening the scope of anti-competitive practices-<\/strong> It broadens the scope of \u2018anti-competitive agreements\u2019 by the<span style=\"color: #ff0000;\"> introduction of &#8216;leniency plus&#8217; agreements<\/span> to catch entities that facilitate cartelization.<\/p>\n<p><strong>5. Prevention of market monopoly-<\/strong> The amended act aims to prevent market monopoly of the large firms by <span style=\"color: #ff0000;\">introduction of revised thresholds<\/span> for holding them to account for anti-competitive behavior. It would the CCI to make <span style=\"color: #ff0000;\">speedy market corrections<\/span> in cases of market monopoly.<\/p>\n<h2><span style=\"color: #000000;\"><strong><a id=\"toc3\"><\/a>What are the challenges associated with the Competition law in India?<\/strong><\/span><\/h2>\n<p><strong>1. Low rate of recovery of penalties-<\/strong> The recovery of penalties for anti-competitive behavior has been only <span style=\"color: #ff0000;\">0.4% over the past five years<\/span>.\u00a0<span style=\"color: #333333;\">CCI has low success rate in defending its decisions at various forums like the <span style=\"color: #ff0000;\">apellate tribunals<\/span> and <span style=\"color: #ff0000;\">the higher courts<\/span>.<\/span><\/p>\n<p><strong>2. Fears of loss of FDI-<\/strong> The inclusion of provisions of penalties based on the global turnover can have <span style=\"color: #ff0000;\">substantial impact on companies with global operations. <span style=\"color: #333333;\">Fines imposed on global turnovers could deter firms that sell multiple products in multiple markets across the world.<\/span><\/span><\/p>\n<p><strong>3. Lack of Capacity of CCI-<\/strong> CCI lacks the manpower and resources to<span style=\"color: #ff0000;\"> effectively monitor the anti-competitive practices<\/span> being employed by the<span style=\"color: #ff0000;\"> big techs<\/span>.<\/p>\n<p><strong>4. Revamping of CCI-<\/strong> The institutional structure of CCI must be revamped by <span style=\"color: #ff0000;\">creating separate cell\/division<\/span>, <span style=\"color: #ff0000;\">beefing up the technical manpower<\/span> for dealing with digital anti-competitive practices.<\/p>\n<p><strong>2. Early establishment of separate bench of NCLAT-<\/strong>\u00a0The government must <span style=\"color: #ff0000;\">constitute a separate bench in the NCLAT at the earliest<\/span> for\u00a0<span style=\"color: #ff0000;\">early adjudication of anti-competitive cases<\/span>. Provision in the Competition Act (Section 39) for <span style=\"color: #ff0000;\">recovery of the penalty amount under the Income Tax Act 1961<\/span>, could be liberally used after getting cases finalized in appeals.<\/p>\n<p><strong>3. Multilevel scrutiny before imposing fines based on Global Turnovers-<\/strong> CCI must employ a multilevel scrutiny process <span style=\"color: #ff0000;\">like EU and Germany<\/span> before imposing fines based on global turnover levels.
